We recently shared the very exciting news that Wheels Up has taken a significant step towards becoming a public company by entering into a merger agreement with Aspirational Consumer Lifestyle Corp. (“Aspirational”) (NYSE: ASPL). Following this announcement, many of you have reached out to us wondering what this transaction means for your existing investment in Wheels Up and what your ownership of the public company will look like assuming the transaction goes forward as we expect it to.

 

We wanted to share the following Frequently Asked Questions to help address some of the questions we have been hearing from many of you.

 

Q:What will current Wheels Up equityholders receive in return for their Wheels Up Interests in the planned merger?

 

A:Based on the current capitalization of Wheels Up, it is expected that, at the closing of the planned merger, each outstanding Wheels Up Common Interest and each outstanding Wheels Up Preferred Interest (Class A, Class B, Class C, Class D and Class E Preferred Interests) would convert into the right to receive 0.4604 shares of ASPL Class A Common Stock.

 

Q:What was the rationale behind the exchange ratio of 0.4604?

 

A:The currently calculated exchange ratio of 0.4604 is calculated using the base purchase price for Wheels Up of $1,885,000,000 and a price per share of ASPL Class A Common Stock of $10.00. The exchange ratio will change if the number of existing Wheels Up interests changes. A change in the exchange ratio would impact the number of shares of ASPL Class A Common Stock that each Wheels Up Interest has the right to receive in the merger. We do not currently expect a material adjustment one way or the other to the exchange ratio prior to closing.

 

Q:Am I entitled to receive any additional compensation as a result of this transaction?

 

A:As a result of the planned merger, Wheels Up equityholders who hold interests at the time of the merger will also have the right to receive a pro rata share of up to 9,000,000 additional shares of ASPL Class A Common Stock. These additional shares, which are a form of earnout, would be issued if certain share price thresholds described in the merger agreement are met for specified periods of time. Additional information about these earn-out shares, and the applicable price thresholds, can be found in the Form 8-K/A filed by Aspirational on February 2, 2021.
